1. Agreement, Who We Are, and How to Contact Us

1.1 These Terms and Conditions ("Terms") govern your access to and use of the website located at www.petrolodex.com and any related applications, portals, or digital services (collectively, the "Website") operated by or on behalf of Petrolodex FZCO ("Petrolodex," "we," "us," or "our"). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Website.

1.2 Petrolodex is a company established under the laws of the United Arab Emirates, with its registered office at Office 1904, DAMAC XL Tower, Business Bay, Dubai, UAE and company registration number 1572144.

1.3 Petrolodex is a principal petroleum and petrochemical trading company. We trade directly with buyers across the construction, government, transportation, aviation, marine, and fuel distribution sectors, sourcing from established refinery and producer relationships across North America, South America, EMEA, and Asia Pacific. All commercial transactions are conducted on a principal-to-principal basis, supported by binding contracts, transparent pricing, and complete logistics management from loading port to final destination.

1.5 These Terms should be read together with our Privacy Policy, which explains how we collect, use, and protect your personal data.

2. Eligibility and Territorial Scope

2.1 The Website is directed at business users, buyers, and prospective trading partners operating in the petroleum, petrochemical, and related logistics sectors worldwide. We do not represent that all content on the Website is appropriate, accurate, or available for use in every jurisdiction, and access from territories where such content is illegal or restricted is prohibited.

2.2 By using the Website, you confirm that you are acting for business or trade purposes, that you have the authority to bind the entity you represent, and that you and your organization are not subject to any applicable trade sanctions, embargoes, or restrictive measures (see Section 8 below).

2.3 You must be at least 18 years old and have the legal capacity to enter into binding contracts to register for an account or submit any enquiry through the Website.

3. Account Registration

3.1 Certain areas of the Website — including enquiry submission, document access, and trading correspondence — require you to register for an account.

3.2 You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.3 You must notify us immediately at info@petrolodex.com if you become aware of any unauthorized use of your account or any other breach of security.

3.4 We reserve the right to suspend, restrict, or terminate any account at our discretion, including where we reasonably believe the information provided is false, misleading, or associated with prohibited activity, or where required to comply with applicable sanctions, anti-money laundering, or know-your-customer (KYC) obligations.

4. Nature of Website Content — No Offer or Binding Commitment

4.1 Content on the Website, including product descriptions, specifications, indicative pricing, availability, and market commentary, is provided for general informational purposes only and does not constitute an offer, quotation, or invitation to trade capable of acceptance.

4.2 No binding commercial relationship, contract of sale, or trading obligation arises from your use of the Website, from submitting a request for quotation ("RFQ"), or from any automated or preliminary response you may receive through it. Binding terms are established only through separately negotiated and duly executed sale and purchase agreements, contracts, or other formal trading documentation signed by authorized representatives of both parties.

4.3 Prices, cargo availability, specifications, delivery windows, and other commercial data referenced on the Website are indicative, subject to change without notice, and subject to confirmation, inspection, and formal contract terms.

5. Intellectual Property

5.1 The copyright and all other intellectual property rights in the material contained on the Website — including text, logos, graphics, trading data summaries, and design — belong to Petrolodex or its licensors. All rights are reserved.

5.2 Except for your own internal business use in evaluating Petrolodex as a trading counterparty, and provided you retain all copyright and proprietary notices, no part of the Website may be copied, reproduced, republished, distributed, or transmitted without our prior written permission.

6. No Warranty and Third-Party Links

6.1 Where the Website contains links to third-party sites or resources (such as market data providers, port authorities, or industry associations), these links are provided for your convenience only. Such links do not constitute our endorsement of the linked content, and we make no representations about the accuracy or suitability of third-party information.

6.2 We do not accept liability for any reliance you place on statements, market data, or representations made on the Website, whether by us or a third party, other than as expressly set out in a signed contract between us.

7. Our Responsibility for Loss or Damage

7.1 Petrolodex will use reasonable care and skill in maintaining the Website. The Website is provided for general information purposes only. Where content includes projections, forecasts, or forward-looking statements about market conditions, pricing trends, or future performance, such statements are predictions only, and actual outcomes may differ materially. You should place no reliance on such statements, and we accept no liability arising from your reliance on them.

7.2 Except in relation to liability which cannot be limited under UAE law, Petrolodex will not be liable (whether for breach of contract, negligence, or otherwise) for losses arising from your use of the Website, other than losses arising under a duly executed trading contract, which shall be governed exclusively by the terms of that contract.

7.3 Save as aforesaid and to the extent permitted by UAE law, Petrolodex shall not be liable for any indirect, incidental, special, or consequential loss — including loss of profit, loss of opportunity, or loss of business — arising out of or connected with your use of the Website, and all warranties, terms, and conditions implied by law are hereby excluded to the fullest extent permitted.

7.4 You bear the risk associated with your use of the Website. Petrolodex is not responsible for errors, omissions, interruptions, or technical problems affecting the Website.

7.5 You agree to indemnify and hold Petrolodex, its officers, directors, and employees harmless from any claim, demand, loss, liability, or legal costs arising out of your breach of these Terms or misuse of the Website.

8. Sanctions, Export Control, and Anti-Bribery Compliance

8.1 As an international petroleum and petrochemical trading business, Petrolodex complies with applicable UAE, United Nations, EU, UK, and US sanctions, export control, and anti-money laundering laws and regulations.

8.2 By using the Website or submitting an RFQ, you represent and warrant that neither you, your organization, nor any of its beneficial owners or affiliates is listed on, owned or controlled by a party listed on, or otherwise the target of, any applicable sanctions or restricted-party list, and that the intended use, origin, and destination of any cargo or product will not violate applicable trade control laws.

8.3 We reserve the right to request supporting documentation to satisfy KYC, anti-money laundering, and sanctions compliance obligations before proceeding with any enquiry, account registration, or transaction, and to decline or terminate engagement where such checks are not satisfactorily completed.

8.4 Petrolodex does not offer, solicit, or accept bribes, kickbacks, or improper payments in connection with any transaction, and expects the same standard from all users of the Website.

9. Confidentiality

9.1 Any commercially sensitive information exchanged through the Website in connection with an RFQ or prospective transaction — including pricing, cargo specifications, and counterparty details — will be treated by both parties as confidential and used solely for the purpose of evaluating the potential transaction, unless otherwise agreed in writing.

9.2 This clause does not affect any more detailed confidentiality obligations agreed under a separate non-disclosure agreement or trading contract.

10. Acceptable Use

10.1 Misuse of the Website will be treated seriously and dealt with in accordance with UAE law. You must not use the Website to view, transmit, post, or upload:

  • 10.1.1 Material that is discriminatory, offensive, obscene, or defamatory;
  • 10.1.2 False, misleading, or fraudulent commercial information, including fabricated cargo availability or counterparty credentials;
  • 10.1.3 Confidential information belonging to Petrolodex, its staff, customers, or suppliers without authorization;
  • 10.1.4 Unsolicited commercial or advertising material, chain messages, or other unsolicited communications; or
  • 10.1.5 Any material that infringes the intellectual property or privacy rights of others.

10.2 You must not:

  • 10.2.1 Attempt to gain unauthorized access to restricted areas of the Website or our systems;
  • 10.2.2 Interfere with or disrupt the integrity or performance of the Website;
  • 10.2.3 Access or attempt to access data you know or ought to know is confidential;
  • 10.2.4 Introduce viruses, malware, or other harmful code; or
  • 10.2.5 Carry out any form of unauthorized data scraping or hacking activity.

10.3 Breach of this Section may amount to a criminal offense under UAE law. Where we have evidence of misuse, we reserve the right to inform and cooperate with relevant law enforcement authorities.

11. Suspension and Termination

11.1 We may suspend, restrict, or terminate your access to the Website and any associated account at our discretion, including for breach of these Terms, suspected fraudulent activity, or compliance concerns under Section 8.

11.2 Upon termination, you must stop all use of the Website authorized under these Terms. Termination does not affect the validity of any separately executed trading contract between you and Petrolodex.

12. General

12.1 We may transfer our rights and obligations under these Terms to another entity, including in connection with a corporate restructuring or sale of business.

12.2 You may not transfer your rights or obligations under these Terms without our prior written consent.

12.3 These Terms do not confer any rights on third parties.

12.4 If any provision of these Terms is found unlawful or unenforceable by a competent court or authority, the remaining provisions will continue in full force and effect.

12.5 Our delay or failure to enforce any provision of these Terms does not waive our right to enforce it later.

13. Rules About Linking to Our Website

13.1 You may link to our homepage provided you do so in a way that is fair, lawful, and does not damage or exploit our reputation.

13.2 You must not create a link in a way that suggests any form of association, approval, or endorsement by Petrolodex where none exists.

13.3 Our Website must not be framed on any other site, and you may not deep-link to pages other than the homepage without our permission.

13.4 We reserve the right to withdraw linking permission at any time without notice.

14. Changes to These Terms

14.1 We may revise these Terms from time to time to reflect changes in our services, market practice, or legal and regulatory requirements. 15. Governing Law and Jurisdiction

15.1 These Terms, their subject matter, and their formation are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. The courts of Dubai, UAE shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, save that Petrolodex reserves the right to bring proceedings against you in any other jurisdiction where you are based or hold assets.
